1. Super73 B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) organized under the laws of the Netherlands, having its registered office in Amsterdam, the Netherlands, and its principle place of business at Industrieweg 63, 1115 AD Duivendrecht, the Netherlands, registered with the trade register of the Dutch Chamber of Commerce under number 76631761 (“Super73”), is giving fans an opportunity to win a Super73-ZG model e-bike.

2. PROMOTION PERIOD: The entry period for the Super73 Kings Day Giveaway (the “Giveaway”) begins at 5:00 p.m. Central European Time (CET) on April 26th, 2024, and all entries must be received no later than 11:59 p.m. CET on April 28nd, 2024 (the “Promotion Period”). The Giveaway winner will be selected on or about April 29th, 2024, as described below.

3. ELIGIBILITY: The Giveaway is open only to legal residents of Netherlands, France, Germany, Italy and Belgium who are 18 years of age or older as of the Entry date. Participation is free of charge. Employees of Super73, its parents, subsidiaries, divisions, affiliates, suppliers, distributors, vendors, and advertising and promotional agencies (collectively, “Released
Parties''), their immediate and extended family members (including but not limited to spouses, domestic partners, parents, children, and siblings), and their household members (whether related or not) are not eligible to participate or win. Void where prohibited by law. Participation constitutes Participant’s full and unconditional agreement to these Giveaway Rules & Terms, any documents and policies referenced herein, and Super73’s decisions, which are final and binding in all matters related to the Giveaway. Winning the Giveaway and receipt of the prize are contingent upon fulfilling all requirements set
forth herein.

4. HOW TO ENTER: To be entered into the Giveaway, you (“Participant,” “you” or “your”) must, during the Promotion Period,
visit https://eu.super73.com/pages/kings-day-giveaway (the “Website”), follow the instructions, and complete and submit an online entry form (“Entry”). Limit one (1) Entry per person/email address. Multiple Participants are not permitted to share the same email address to submit an Entry. You may not submit more than one (1) Entry by using multiple email addresses,
identities, devices, or other means to circumvent the rules. Use of any robotic, automatic, programmed, or similar entry method, or entering more than the number of times permitted, will void your entries and result in disqualification.

5. SELECTION: Super73 will randomly select one (1) Entry as the winner from amongst all eligible Entries (the “Winner”). Super73 has full and complete discretion to select the Winner. Super73 reserves the right to use third-party software to randomly select the winner.

6. WINNER NOTIFICATION: The Winner selection will take place on or about April 29th, 2024. The Winner will be notified by email and/or telephone and will be sent certain documents via the email address provided in the Entry, which the Winner is required to complete and return within forty-eight (48) hours of Super73’s attempted delivery of the same. Noncompliance within any specified time period, failure to respond to a notification or other communication from Super73, or declining the
prize, in each case for any reason, may result in disqualification without further notice, in which event another Winner will be chosen randomly, subject to the requirements noted herein.

7. PRIZES & APPROXIMATE RETAIL VALUE (“ARV”): Super73 will deliver one custom made SUPER73-ZG e-bike with certain accessories to the Winner between one (1) and ten (10) weeks after the winner’s selection. The value of the e-bike is €1,999 (incl. VAT). Actual retail value may vary and is subject to price fluctuations in the consumer marketplace based on, among
other things, any gap in time between the date the ARV is estimated for purposes of these Giveaway Rules & Terms, and the date the prize is awarded. Super73 is not responsible for, and the winner will not receive, any difference between the actual
value and ARV of the prize.

8. GENERAL CONDITIONS, RELEASE AND LIMITATION OF LIABILITY: The prize will be awarded “as is” with no warranty or
guarantee, either expressed or implied, by Super73 or anyone else. The Winner is responsible for the payment of any and all taxes. No transfer, assignment, substitution or cash equivalent for the prize will be permitted, except at the sole and
complete discretion of Super73, due to prize unavailability for any reason. In such circumstances, an alternate prize of equal value will be awarded, any Super73 obligation to the winner will be deemed fulfilled and no other additional compensation will be provided. Resale of the prize is prohibited. In no event will more than the stated number of prizes be awarded. If a
Participant submits more than one (1) Entry, and/or if Super73 suspects that a Participant attempted to obtain additional
Entries by using multiple or different email addresses, registrations, identities or any other method, that Participant’s Entries will be voided and that Participant may be disqualified. Entries generated by script, macro or other automated means and Entries by any means which subvert the entry process are void. Entries will not be acknowledged or returned.
The Released Parties are not responsible for lost, late, incomplete, misdirected, invalid or unintelligible Entries, which will be disqualified. In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed the Participant. The “authorized account holder of the email address” is the natural person assigned an email address by an
Internet access provider, online service provider or other organization, (e.g., business, educational institution, etc.)
responsible for assigning email addresses for the domain associated with the submitted address. Potential Winners may be
required to show proof of being the authorized account holder associated with the Entry. As a condition of your participation in the Giveaway, you hereby agree to release, discharge and hold harmless the Released Parties from and against any and all claims, demands, lawsuits, expenses, injuries (including death), losses, damages, and any other liability of any kind or nature, to you or any other person, your property, or your rights of privacy or publicity, directly or indirectly arising out of or in connection with the Giveaway (including, without limitation, the conduct of the Giveaway, the awarding of any prize, your participation in the Giveaway, your acceptance, use, misuse, loss, or damage of or to the prize, and any use of your name, biographical information, and likeness), even if due to the negligence, omission or other fault of Super73, and agree to be bound by these Giveaway Rules & Terms and Super73’s decisions, which are final. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway materials and the Giveaway Rules & Terms, the Giveaway Rules & Terms shall prevail, govern and control. The Released Parties are not responsible for any typographical or other error in the printing of the Giveaway material, administration of the Giveaway or in the announcement of the prize. Nor are the Released Parties responsible for any faulty, incorrect, undeliverable or mistranscribed phone/email transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or delayed computer or device transmission that may limit a user's ability to participate in the Giveaway. The Released Parties assume no responsibility for undeliverable emails, including but not limited to those resulting from any form of active or passive email filtering and/or insufficient space in a user's email account. Super73 reserves the right to cancel or modify the Giveaway if fraud, misconduct or technical failures threaten the integrity of the Giveaway; or if a computer virus, bug, or other technical problem corrupts the administration or security of the
Giveaway as determined by Super73, in its sole discretion. In the event of termination, a notice will be posted online and the selection of finalists will be conducted from among all eligible Entries received prior to termination. Any damage made to the Website by a Participant will be the responsibility of the Participant and/or the authorized email account holder of the email address submitted at the time of Entry. Super73 reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Giveaway Rules & Terms.

9. PUBLICITY: As a condition of your participation in the Giveaway, you hereby grant permission for Super73 and/or its parents. subsidiaries, affiliates, licensees, successors, and assigns, and those acting under their authority, to use, and to authorize others to use, your name, biographical information, and likeness, throughout the world, in all media now known or hereafter existing (including print, packaging, television, radio, film, digital, internet, social media, websites, and mobile apps), in perpetuity, for any purpose whatsoever, including, without limitation, advertising, marketing, publicity, and promotion of Super73, the Giveaway, and/or any Super73 products, and for all Super73 internal and external business purposes, without
any further compensation or right of approval.

10. DISPUTES: THIS GIVEAWAY IS GOVERNED BY THE LAWS OF THE NETHERLANDS, WITHOUT RESPECT TO CONFLICT OF
LAW DOCTRINES. As a condition of your participation in the Giveaway, you agree that any and all disputes that cannot be resolved between the parties, including a dispute, controversy or claim arising out of or relating to the Giveaway, these rules, their enforcement, arbitrability or interpretation, and all causes of action arising out of or connected with this Giveaway, shall
be governed, construed and interpreted in accordance with the laws of the Netherlands without giving effect to principles of
conflicts of law. Each of the parties to this Agreement consents to the exclusive jurisdiction and venue of the courts of Amsterdam, the Netherlands. In any such dispute, under no circumstances will you be permitted to obtain awards for, and
you hereby waive all rights to claim, punitive, incidental or consequential damages, including reasonable attorneys’ fees, other than your actual out-of-pocket expenses (e.g., evidenced costs associated with entering this Giveaway). You further waive all rights to have damages multiplied or increased, or to resort to any form of class action, collective action, or representative claims.

11. PRIVACY: Any personal information that a Participant provides in connection with the Giveaway shall be used by Super73 to administer this Giveaway, contact Participant, for the purposes set forth in Section 9 herein, for any other purposes set forth in these Giveaway Rules & Terms, and for any other purposes set forth in Super73’s privacy policy located at
https://eu.super73.com/pages/privacy-policy. By entering this Giveaway, you agree to and accept these Giveaway Rules & Terms and Super73’s privacy policy. Participant further acknowledges and agrees that Super73 may use Participant’s
personal information to provide Participant with information relating to products, services and promotions of Super73 and
affiliates of Super73.
